Agile Password - Terms of Service (EULA)

Welcome to Agile Password

Thanks for using our products and services ("Services"). By using our Services, you are agreeing to these terms.
Please read them carefully. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT USE THE SERVICES.
These terms govern your use of Agile Password product, including its features, services, technologies, and software we offer, except where we expressly state that separate terms (and not these) apply.

Using Application

You must follow any policies made available to you within the Application. Don't misuse our Application. For example, don't interfere with our Application or try to access it using a method other than the interface and the instructions that we provide. You may use our Application only as permitted by law, including applicable export and re-export control laws and regulations. We may suspend or stop providing our Application to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.
Using our Application does not give you ownership of any intellectual property rights in our Application or the content you access. You may not use content from our Application unless you obtain permission from its owner or are otherwise permitted by law. These terms do not grant you the right to use any branding or logos used in our Application. Don't remove, obscure, or alter any legal notices displayed in or along with our Application.
In connection with your use of the Application, we may send you service announcements, administrative messages, and other information. You may opt out of some of those communications.

Privacy and Copyright Protection

Agile Password's Privacy Policy explains how we treat your personal data and protect your privacy when you use our Application. By using our Application, you agree that Agile Password can use such data in accordance with our privacy policies.

Third-Party Services

The Application does not display, include or make available third-party content (including data, information, applications and other products services) but may provide links to third-party websites or services.
You acknowledge and agree that the Agile Password shall not be responsible for any Third-party Services, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality or any other aspect thereof. The Agile Password does not assume and shall not have any liability or responsibility to You or any other person or entity for any Third-party Services.
You must comply with applicable Third parties' Terms of agreement when using the Application. Third-party Services and links thereto are provided solely as a convenience to You and You access and use them entirely at your own risk and subject to such third parties' Terms and conditions.

Term, Termination and Modification

This Agreement shall remain in effect until terminated by You or the Agile Password. The Agile Password may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.
This Agreement will terminate immediately, without prior notice from the Agile Password, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the Application and all copies thereof from your Device or from your tablet.
Upon termination of this Agreement, You shall cease all use of the Application and delete all copies of the Application from your Device.
Termination of this Agreement will not limit any of the Company's rights or remedies at law or in equity in case of breach by You (during the term of this Agreement) of any of your obligations under the present Agreement.
We may modify these terms or any additional terms that apply to an application to, for example, reflect changes to the law or changes to our application. You should look at the terms regularly. We'll post notices of modifications to these terms on this page. Changes will not apply retroactively and will become effective no sooner than fourteen days after they are posted. However, changes addressing new functions for an application or changes made for legal reasons will be effective immediately. If you do not agree to the modified terms for an application, you should discontinue your use of the Service.
If there is a conflict between these terms and the additional terms, the additional terms will control for that conflict.

Indemnification

You agree to indemnify and hold the Company and its parents, subsidiaries, affiliates, officers, employees, agents, partners and licensors (if any) harmless from any claim or demand, including reasonable attorneys' fees, due to or arising out of your: (a) use of the Application; (b) violation of this Agreement or any law or regulation; or (c) violation of any right of a third party.

Severability and Waiver

Severability

If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Agreement shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Product Claims

The Agile Password does not make any warranties concerning the Application.

United States Legal Compliance

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

Governing Law

The laws of the Country, excluding its conflicts of law rules, shall govern this Agreement and your use of the Application. Your use of the Application may also be subject to other local, state, national, or international laws.

Content in Application

You retain ownership of any intellectual property rights that you hold in our application. In short, what belongs to you stays yours.
You can find more information about how Agile Password uses and stores content in the Privacy Policy. If you submit feedback or suggestions about our application, we may use your feedback or suggestions without obligation to you.

Warranties and Disclaimers

We provide our application using a commercially reasonable level of skill and care and we hope that you will enjoy using them. But there are certain things that we don't promise about our Services.
OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS OR ADDITIONAL TERMS, NEITHER AGILE PASSWORD NOR ITS SUPPLIERS OR DISTRIBUTORS MAKE ANY SPECIFIC PROMISES ABOUT THE SERVICES.

Limits on Liability

We work hard to provide the best Products we can and to specify clear guidelines for everyone who uses them. However, THE SERVICE IS PROVIDED "AS IS".
WE CANNOT PREDICT WHEN ISSUES MIGHT ARISE WITH OUR SERVICES. ACCORDINGLY, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND UNDER NO CIRCUMSTANCE WILL WE BE LIABLE TO YOU FOR ANY LOST PROFITS, REVENUES, INFORMATION, OR DATA, OR CONSEQUENTIAL, SPECIAL, INDIRECT, EXEMPLARY, PUNITIVE, OR INCIDENTAL DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR THE AGILE APP PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR USE AND/OR PURCHASE OF SERVICE ARE ALL AT YOUR SOLE RISK.

Business Uses of Our Application

If you are using our application on behalf of a business, that business accepts these terms. It will hold harmless and indemnify Agile Password and its affiliates, officers, agents, and employees from any claim, suit or action arising from or related to the use of the application or violation of these terms, including any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs and attorneys' fees.

Entire Agreement

The Agreement constitutes the entire agreement between You and the Agile Password regarding your use of the Application and supersedes all prior and contemporaneous written or oral agreements between You and the Agile Task.
You may be subject to additional terms and conditions that apply when You use or purchase other Company's services, which the Company will provide to You at the time of such use or purchase.

About These Terms

These terms control the relationship between Agile Password and you. They do not create any third party beneficiary rights. If you do not comply with these terms, and we don't take action right away, this doesn't mean that we are giving up any rights that we may have (such as taking action in the future).If it turns out that a particular term is not enforceable, this will not affect any other terms.
